Software Licence Agreement

The short version: when you buy our software you buy a licence to use it - you own that licence for good, on the number of devices your tier covers. The software runs entirely on your own computer and collects nothing. You can't resell it, share your licence key, or pass it off as your own. None of this affects the statutory rights you have as a consumer.

This agreement (the "Agreement") is a legal contract between you and BIT-SOFT TECHNOLOGY LTD, trading as BitSoft, a company registered in England and Wales (company number 17148041) with its registered office at 44 Merthyr Mawr Road, Bridgend, Wales, CF31 3NR ("BitSoft", "we", "us"). It governs your installation and use of our software applications, including Clip, together with any updates and documentation we provide (the "Software").

By downloading, installing, or using the Software, you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Definitions

  • "Software" - the BitSoft application you have licensed (such as Clip), including all updates, patches and documentation we make available for it.
  • "Licence Key" - the unique key issued to you on purchase that activates the Software.
  • "Device" - a single physical Windows computer on which the Software is installed.
  • "Tier" - the edition you purchased, which sets the number of Devices your licence covers.

2. Licence granted to you

Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, worldwide licence to install and use the Software for your own personal or internal business purposes, on up to the number of Devices your Tier covers. The current Tiers cover Devices as follows:

  • Standard - 1 Device
  • Personal - 2 Devices
  • Professional - 3 Devices

The Device count for the Tier shown to you at checkout is the one that applies to your purchase. This licence is perpetual for the version line you bought: once purchased, it does not expire and is not a subscription.

3. Your Licence Key

Your Licence Key is issued through our payment provider on purchase. You are responsible for keeping it confidential. You may move your licence between your own Devices (for example, from an old PC to a new one) provided the total number of Devices in active use stays within your Tier's allowance. You must not share, publish, sell, or transfer your Licence Key to anyone else.

4. What you may not do

You may not, except to the extent the law expressly permits despite this restriction:

  • copy, distribute, resell, rent, lease, sublicense, or otherwise make the Software or your Licence Key available to any third party;
  • reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code;
  • modify, adapt, or create derivative works of the Software;
  • remove, obscure, or alter any copyright, trademark, or other proprietary notices;
  • circumvent, disable, or interfere with the Software's licensing or any security feature; or
  • use the Software for any unlawful purpose or in breach of any applicable law.

5. Ownership

The Software is licensed to you, not sold. We and our licensors retain all right, title and interest in and to the Software, including all intellectual property rights in it and in the "BitSoft", "Tray", "Clip" and "Beam" names and logos. You acquire no rights in the Software other than the licence expressly granted in this Agreement.

6. Updates and support

Your purchase includes all updates within the same major version line of the Software at no extra cost (for example, all v1.x updates for a v1 licence). We may make future major versions available as separate paid products. Updates are delivered through our payment provider or the Software's own update mechanism. We provide reasonable-effort support by email at support@bit-soft.co.uk; we do not commit to a formal response time or service level.

7. Price, payment and merchant of record

Purchases are processed by Lemon Squeezy, who act as the merchant of record for the sale. Lemon Squeezy handles payment, invoicing, and any applicable sales tax or VAT; their terms apply to the payment transaction. Prices are one-time and shown at checkout in the applicable currency. There is no subscription and no recurring charge.

8. Refunds and cancellation

If the Software is faulty, not as described, or does not meet the quality you are entitled to expect, you are entitled to a remedy under the law described in section 11 - contact us and we will put it right or refund you. As a consumer buying digital content you also have a statutory right to cancel within 14 days; however, where you ask to download the Software immediately and acknowledge that your right to cancel is lost once the download begins, that statutory cancellation right ends at that point. Refund requests are handled together with our payment provider - email support@bit-soft.co.uk.

9. Privacy and data

The Software runs entirely on your Device. It has no account system, no cloud sync, and no telemetry, and it performs no network activity of any kind. Your screenshots and files never leave your machine and we have no way to see them. The only personal data we hold in connection with your licence is what our payment provider passes to us to issue and support it, such as your email address and Licence Key. 10. Third-party and open-source components

The Software includes third-party and open-source components that remain subject to their own licences. Those licences do not reduce the rights granted, or the protections available to you, under this Agreement, and where a component's licence grants you rights that this Agreement would otherwise restrict, that component's licence prevails for that component.

11. Your statutory rights as a consumer

Nothing in this Agreement affects your statutory rights. If you are a consumer in the United Kingdom, the Consumer Rights Act 2015 gives you rights that the Software must be of satisfactory quality, fit for its purpose, and as described, and these rights cannot be excluded. If you are a consumer elsewhere, you keep the mandatory protections of the law where you live. This Agreement is to be read subject to those rights.

12. Warranties and "as is"

Beyond the statutory rights described in section 11, and to the fullest extent permitted by law, the Software is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or compatible with every hardware or software configuration.

13. Limitation of liability

Nothing in this Agreement limits or excludes our liability where it would be unlawful to do so - including liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited or excluded under the law that applies to you as a consumer. Subject to that, we are not liable for indirect or consequential loss, or for loss of data, profit, or business, arising from your use of or inability to use the Software; and our total liability to you arising out of or in connection with the Software is limited to the amount you paid for your licence.

14. Term and termination

This Agreement applies for as long as you use the Software. It terminates automatically if you materially breach it - for example, by sharing your Licence Key or redistributing the Software. On termination you must stop using the Software and remove it from your Devices. Sections that by their nature should survive termination (including ownership, limitation of liability, and governing law) continue to apply.

15. Changes to this Agreement

We may update this Agreement from time to time; the date at the top reflects the latest revision. The version in force at the time of your purchase governs that purchase, and no change will retroactively reduce the core licence rights you have already paid for.

16. Governing law and jurisdiction

This Agreement is governed by the law of England and Wales. The courts of England and Wales have jurisdiction over any dispute arising from it, except that if you are a consumer resident elsewhere in the UK or in the EU, you keep the benefit of any mandatory protections and the right to bring proceedings in the courts of the place where you live.
